Guide
LLC operating agreement options
An operating agreement is the private contract among the LLC’s owners: who owns what, who decides, and how money moves. The paper that creates the LLC is a filing with a state office. Buying one does not buy the other.
One state example, not a national rule
In Florida, the Division of Corporations publishes the Articles of Organization as the LLC filing. Information on that filing becomes a public record. The division’s LLC form list does not include an operating agreement, because that contract is not the formation form. Other states use their own offices and their own names for the formation document. Whether your state requires a written operating agreement, and what happens if you do not have one, is in that state’s LLC statute. This guide does not restate all 50 statutes.
Four ways people pay for this
- A document library. LegalNature or LawDepot can be the place you complete an operating-agreement form. You still file the articles yourself, or you hire a formation service to do that filing. See document services.
- A formation service. Rocket Lawyer and Inc Authority sell help sending the formation form to the state. Ask whether an operating agreement is included, sold separately, or not offered. A $0 service fee does not pay the state fee. See formation services.
- An e-signature tool. signNow can collect signatures after the agreement exists. It does not draft the agreement or file the LLC. Electronic signatures have exceptions, including some wills. An operating agreement is not a will, and a state’s signing rules can still require a particular form. See e-signature services.
- An attorney. A lawyer can review or draft the agreement for your facts. LegalZoom’s Business Attorney Plan is a subscription for consultations and limited document review. It is not the Florida articles, and the plan does not include full representation in a lawsuit. Consultations are limited to new matters, and a document review on that plan covers up to 10 pages unless you pay more.
This ordinary link opens LegalZoom’s attorney-plan page, not a business-formation checkout. Able Legal Forms does not earn a commission from it.
What this site will not do
We do not generate an operating agreement, choose your management structure, or tell you that a form is enforceable. Use the preparation checklist to list what to gather before you talk to a provider.
